Terms of Use

You have selected to register for use of Invenacom Home Inventory Services Inc.'s ("Invenacom") on-line inventory management service.

By completing the account registration process on the Invenacom website and clicking the "I accept" button, you agree that you have read and understood, and agree to be bound by, this Agreement. If you do not accept this Agreement in its entirety, you may not access or use Invenacom's services (the "Services", as described below).

Invenacom reserves the right to make changes to this Agreement at any time by amending it on its website, and you are responsible for regularly accessing Invenacom's website to review such changes. Your continued use of the Services after any such posted changes will constitute your consent to the changes. Any deletion, addition or changes to the Services will also be governed by this Agreement.

Subject to Invenacom's acceptance of your registration and your compliance with the terms and conditions of this Agreement, you will receive one Invenacom on-line inventory account in your name (the "Account"). You will be able to create, retrieve and amend inventory data records in your Account and allow access by police officers, insurance providers or other specified third parties to those inventory data records in your Account which you have designated (collectively, the "Services").

Please note that one or more of these Services may not be available at certain times - see the Invenacom home page to obtain the current status of the Services.

1 Eligibility for Services

You represent that: (a) you are at least 18 years of age, or the age required by your applicable law to make a legal and binding contract, (b) all registration information you submit is true, accurate, current and complete, and that you will maintain and update this information as required, and (c) you are authorized to use the designated payment method for the Services.

2 Restrictions on Services

You may only use the Services for your personal and domestic purposes, and not for business purposes or for use in a business environment. You agree that inventory data records in your Account will relate only to your personal property located at the residential address identified by you in your registration process (the "Residence"), and that you will only list property in your inventory that you own and that is located at the Residence.

3 Third-Party Access

As part of the Services, Invenacom will allow third parties that you select ("Authorized Viewers") to access certain inventory data records that you designate (the "Designated Records") in your Account. You are solely responsible for selecting the Authorized Viewers and the Designated Records, and for the contents of the Designated Records. You acknowledge that Invenacom does not and can not verify the accuracy of inventory data in your Account, and that you and not Invenacom are responsible and liable for any damages, losses, liabilities, costs and expenses that may arise from the disclosure of the Designated Records to Authorized Viewers.

4 Your Account

Invenacom may establish reasonable limits concerning your Account, including restrictions on disc space and other storage capacity and the maximum size of your inventory data. Invenacom reserves the right to suspend your Account, or to delete data from your Account, if your Account data exceeds a reasonable size as determined by Invenacom in its sole discretion.

Invenacom may suspend or terminate your Account without notice if: (a) any information provided by you is untrue, inaccurate, or incomplete, or is not kept current, (b) you have breached or threatened to breach your obligations or other provisions in this Agreement, or (c) you are engaged in illegal activities or activities that may damage the rights or reputation of Invenacom.

You must choose a personal password for your Account that will allow you to access and use your Account and the Services, and not provide it to anyone else. You are solely responsible for maintaining the security and confidentiality of your Account, password and files, and all activities relating to them. You will notify Invenacom immediately if you have reason to believe that the security of your Account, password or files has been breached or subject to unauthorized use.

Access to or use of the Services and your Account may be prevented or restricted to varying degrees by the destination mail servers or by third party servers along the traffic route. Invenacom has no control over or liability for such delivery disruptions.

Invenacom reserves the right to monitor your use of the Services and your Account for quality control and Agreement compliance purposes and may suspend or terminate the Services if it believes their usage by you may be in violation of this Agreement.

Invenacom reserves the right, in its sole discretion, to change, add or remove any of the Services at any time. You may be sent advance notice of all such changes, and if you are unwilling to accept such changes, then your exclusive remedy will be to terminate your Account with Invenacom.

5 Your Responsibilities

You are responsible for obtaining, maintaining and paying for all Internet connections, computer equipment, hardware and software needed to access and use the Services and your Account. To fully access all the content and features of the Services and your Account, you may need to enhance or update the hardware or software in your computer system; such enhancements or upgrades are your responsibility. The Services are intended to be accessed and used by means of web browsing software, but Invenacom does not commit to support all browsing platforms.

You are responsible for how you use the Services and your Account. This includes responsibility for the content of all data you store or retrieve from, or attempt to store or retrieve from, your Account, and its accuracy, integrity, legality and reliability.

You will not use your Account or the Services for any illegal purposes, and you will abide by all applicable laws and regulations when using the Services.

Your Account may not be "shared" or otherwise used by more than one individual, except by your parent, spouse or child living at the Residence.

6 Security of Data and System

Invenacom will use commercially reasonable efforts to restrict access to the data you store in your Account to persons accessing such data through use of your Account or password, including Authorized Viewers. Invenacom reserves the right to access your Account for support requirements, and to verify that your Account is not being misused. Invenacom will not be liable for any loss or liability that you may incur as a result of anyone else using your password to access your Account data, either with or without your knowledge or permission. You will not use anyone else's account at any time without the permission of the account holder. You will not attempt to gain unauthorized access to any servers or software controlled by Invenacom, or access such servers or software for unauthorized purposes.

7 Support

You may obtain assistance with any technical difficulties that may arise in connection with your use of your Account and Services by requesting assistance from Invenacom's support desk at info@invenacom.com. Invenacom reserves the right to establish reasonable limits on the extent of such support and the hours at which it is available.

Your sole and exclusive remedy for any failure to access your Account or to receive the Services will be for Invenacom to use commercially reasonable efforts to correct such failures. If Invenacom advises you that such failure of your Account and Services cannot in its view be reasonably corrected, then your sole and exclusive remedy will be to discontinue using your Account and Services.

Invenacom undertakes to back up its customers' data on a periodic basis, currently at least every 24 hours. The time for restoration of customer data after system downtime depends on the magnitude of the Invenacom system technical difficulties.

Invenacom will not be liable for loss of your data under any circumstances, and cannot guarantee the integrity or security of your Account.

Services will not be available when Invenacom's system is the subject of scheduled or emergency maintenance.

8 Privacy

Invenacom respects the privacy of any personal information provided by you and protects it through its Privacy Policy. Invenacom reserves the right to disclose any information provided by you as it deems necessary to satisfy any applicable law, regulation, legal process, government request, to protect the Services or the rights of Invenacom, or as otherwise required or permitted by law. Invenacom may use information provided by you in order to identify or resolve technical problems concerning the Services, to tailor its Services to you, to facilitate your use of the Services and to communicate with you.

9 Term and Termination

You may terminate your Account or the use of the Services at any time for no cause, by sending an email message to info@invenacom.com.

Invenacom reserves the right to terminate your Account or your use of the Services at any time for no cause. Invenacom also reserves the right to terminate your Account or your use of the Services immediately if you breach this Agreement.

10 Indemnity

You agree to indemnify and hold harmless Invenacom, its affiliates, agents, licensors or their respective directors, officers, agents or employees against any and all damages, liabilities, losses, costs and expenses (including without limitation reasonable attorneys fees) in connection with any claim or action that arises from your breach of any of this Agreement or any misuse of the Services or your Account. Invenacom reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, but doing so will not excuse your indemnity obligations.

11 Disclaimer of Warranties and Liabilities

INVENACOM MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS OR ACCURACY OF THE SERVICES FOR ANY SPECIFIC PURPOSE FOR WHICH YOU WANT TO USE THEM. EXCEPT FOR THE OBLIGATIONS AND REMEDIES EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND INVENACOM DISCLAIMS ALL OTHER WARRANTIES, CONDITIONS AND REPRESENTATIONS, INCLUDING THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. INVENACOM DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.

IN NO EVENT WILL INVENACOM BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF USE, DATA OR PROFITS, EVEN IF INVENACOM WILL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, AND WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, PRODUCT LIABILITY, STRICT LIABILITY OR OTHERWISE.

IN THE EVENT THAT INVENACOM IS FOUND LIABLE TO YOU FOR DAMAGES FOR ANY CAUSE WHATSOEVER, THE LIABILITY OF INVENACOM WILL BE LIMITED TO THE AMOUNT THAT YOU HAVE PAID FOR THE SERVICES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES, LIABILITIES, OR DAMAGES, SO CERTAIN OF THESE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

12 Intellectual Property Rights

Except as expressly provided in this Agreement, you have no proprietary right, title or interest in or to your Account, the Services, or the Invenacom system components (including databases, graphics, text, files, software, interfaces, and web pages) (collectively, the "System Components"). All System Components are protected by copyright, trademark, patents, trade secrets and/or other proprietary rights and laws, and you may not use it in any manner other than to access and use the Services and your Account. You may not modify, copy, distribute, create derivative works from or sell any such System Components, except as expressly provided in this Agreement.

The Invenacom company names, trademarks and logos, and all related product and service names, marks and slogans (the "Marks") are the property of Invenacom or its third party suppliers as the case may be. You are not authorized to use any of the Marks in any advertising, marketing or any other commercial manner without the prior written consent of Invenacom.

13 General

Neither party will be liable to the other for any delay or failure in performance under this Agreement resulting directly or indirectly from acts of nature or causes beyond its reasonable control.

This Agreement will be governed by the laws of British Columbia, Canada, without regard to its choice of law or conflict of laws provisions. You hereby consent to the jurisdiction and venue of the British Columbia courts, including the Federal Court of Canada sitting in Vancouver, British Columbia, in all disputes arising out of or related to the Services, your Account or this Agreement.

No joint venture, partnership, agency or employment relationship is created between you and Invenacom as a result of this Agreement or the Services, and you do not have any authority of any kind to bind Invenacom in any respect whatsoever.

If any provision of this Agreement is determined to be void, invalid or unenforceable pursuant to applicable law, such void, invalid or unenforceable provision will be deemed stricken and superseded by valid and enforceable provision that most closely match the intent of the original provisions, and the remainder of this Agreement will continue in full force and effect.

You may not assign this Agreement without Invenacom's prior written consent and any such assignment without consent shall be null and void.

This Agreement binds and enures to the benefit of the parties and their heirs, personal representatives, lawful successors and permitted assigns.

This Agreement constitutes the entire agreement between you and Invenacom with respect to the Services and your Account and related matters, and supersede all previous proposals, both oral and written, and all negotiations, representations, writings and other communications between the parties.

14 Electronic Information and Communication

All information provided to you from Invenacom will be provided to you in electronic form only, either: (1) by email at the email address you specify during your registration for services; (2) by access to an Invenacom web site that will be designated in an email notice sent to you; or (3) by access to an Invenacom web site that will be designated on the Invenacom website in advance for such purpose.
